Subscription and Billing Terms
1. Scope
These Global Subscription and Billing Terms (“Billing Terms”) govern pricing, subscriptions, taxes, payment, invoicing, renewal, expiry, suspension, capacity changes and related billing matters for subscriptions to Bluebird by ASIS purchased online or otherwise subject to these Billing Terms.
Bluebird is provided by Advanced Solutions for Information Systems (“ASIS”), acting through the ASIS legal entity identified during checkout, in the applicable Order Form, subscription confirmation or invoice.
These Billing Terms form part of the agreement between ASIS and the Customer and should be read together with:
- the Global Terms of Service;
- the Global Privacy Policy;
- the Global Refund and Cancellation Policy;
- any applicable Order Form or subscription confirmation; and
- any applicable country-specific terms.
Where a separately negotiated and signed agreement expressly governs billing for the same Service, that signed agreement prevails to the extent of any direct conflict.
2. Subscription Packages and Pricing
Bluebird subscription packages may be published on the Bluebird website or presented in an Order Form, quotation or checkout page.
A package may specify:
- included employee capacity;
- user or administrator limits;
- modules and functionality;
- transaction limits;
- storage;
- devices;
- APIs;
- support level;
- subscription duration;
- and other applicable usage limits.
The price applicable to a purchase is the price displayed or quoted and accepted by the Customer at the time the order is placed.
Prices may vary by:
- country;
- currency;
- Customer type;
- subscription package;
- number of employees or users;
- selected modules;
- applicable ASIS contracting entity;
- promotional arrangements;
- and applicable taxes.
Unless expressly stated otherwise, published prices exclude applicable taxes.
3. Contracting Entity
The ASIS legal entity responsible for the applicable subscription will be identified during checkout, in the Order Form, subscription confirmation or invoice.
That entity is responsible for:
- issuing the applicable invoice;
- receiving payment;
- administering the subscription;
- and performing the contractual obligations allocated to ASIS.
Different ASIS legal entities may be used for Customers in different countries, markets or commercial arrangements.
The applicable contracting entity may affect:
- invoice issuer;
- billing currency;
- tax treatment;
- payment methods;
- governing law;
- and jurisdiction.
4. Currency
The billing currency applicable to the subscription will be displayed before the Customer confirms the purchase.
Bluebird may support different currencies depending on:
- Customer location;
- contracting entity;
- subscription plan;
- payment method;
- payment provider;
- and commercial availability.
The Customer authorises payment in the currency displayed in the final order summary.
Where the Customer’s bank, card provider or financial institution converts the transaction into another currency, any:
- exchange-rate difference;
- foreign-exchange spread;
- international transaction fee;
- bank charge;
- or card-network charge
is determined by the relevant third party and is not controlled by ASIS.
5. Taxes
Prices displayed by Bluebird may be exclusive of applicable taxes unless expressly stated otherwise.
Depending on the Customer’s location, the contracting entity and applicable law, taxes may include:
- VAT;
- GST;
- sales tax;
- digital-services taxes;
- withholding taxes;
- duties;
- levies;
- or similar governmental charges.
Where ASIS is legally required to collect a tax, that tax may be added to the amount payable and shown during checkout or on the invoice.
The Customer is responsible for providing complete and accurate information required to determine the correct tax treatment, including where applicable:
- legal entity name;
- billing address;
- country;
- tax-registration number;
- VAT or GST number;
- tax-exemption documentation;
- and other relevant tax information.
Where the Customer is legally required to account for taxes under a reverse-charge, self-assessment or similar mechanism, the Customer is responsible for complying with those requirements.
Where withholding tax is legally required, its treatment will be determined according to applicable law and the relevant contractual arrangement.
Nothing in these Billing Terms constitutes tax advice.
6. Changes in Taxes
If a government or competent authority:
- introduces a new tax;
- changes a tax rate;
- changes the taxable status of the Service;
- or modifies tax-collection obligations,
ASIS may apply the legally required tax treatment from the date it becomes effective.
The addition or adjustment of a tax imposed by law is not considered a commercial price increase by ASIS.
7. Payment
Payment for online subscriptions is processed through one or more authorised third-party payment service providers made available during checkout.
The payment provider available to a Customer may vary by:
- country;
- currency;
- payment method;
- Customer type;
- or ASIS contracting entity.
ASIS may support payment methods including, where available:
- payment cards;
- bank transfers;
- payment links;
- electronic payment methods;
- or other approved payment channels.
The Customer must pay the amount shown in the final order summary using an available authorised payment method.
8. Payment Card Information
Where the Customer uses a hosted payment page or equivalent third-party payment service, card information is entered directly into the payment provider’s secure environment.
ASIS does not intentionally store full payment-card numbers or card-security codes within Bluebird.
Depending on the payment method and provider, ASIS may receive limited payment information such as:
- payment status;
- transaction reference;
- amount;
- currency;
- payment method type;
- and masked card information.
Payment processing is also subject to the applicable payment provider’s own terms and privacy practices.
9. No Automatic Renewal
Unless expressly stated otherwise during checkout, in the applicable Order Form or in country-specific terms, Bluebird online subscriptions do not renew automatically.
A subscription continues for the term purchased by the Customer and expires at the end of that term unless the Customer actively renews it.
A subsequent subscription term requires the Customer to:
- choose to renew;
- accept any applicable updated commercial or legal terms where required; and
- complete the applicable payment.
No recurring payment is taken solely because a payment method was previously used for a Bluebird subscription, unless the Customer has expressly enrolled in a separately disclosed recurring-payment arrangement.
10. Renewal Reminders
ASIS may send renewal reminders to the Customer’s registered administrator, billing contact or other designated contact.
For standard online subscriptions, ASIS may send reminders approximately:
- 30 days before expiry;
- 7 days before expiry;
- and on or around the expiry date.
These reminders are provided as a courtesy.
The Customer remains responsible for:
- monitoring its subscription expiry date;
- maintaining accurate contact details;
- and completing renewal payment on time.
Failure to receive or act on a reminder does not extend the subscription or create a right to continued access.
11. Expiry and Grace Period
If a subscription reaches its expiry date without renewal payment having been received, Bluebird may provide a grace period.
For standard online subscriptions, the default grace period is fourteen (14) calendar days, unless another period is displayed during checkout, stated in an Order Form or required by applicable law.
During the grace period:
- the subscription is considered expired but temporarily accessible;
- existing authorised users may continue to access the Service;
- existing configurations and Customer Data remain available;
- and normal Service processing may continue.
No separate subscription fee is normally charged solely for the grace period.
The grace period is provided as an operational accommodation and does not create an entitlement to free Service beyond the applicable subscription arrangements.
12. Suspension Following the Grace Period
If renewal payment is not received before the applicable grace period expires, ASIS may suspend access to the tenant.
During suspension:
- users may be unable to log in;
- interactive use of the Service may stop;
- integrations may be suspended;
- API access may be disabled;
- automated processes may cease;
- and new attendance or other transaction data may no longer be accepted or processed.
Suspension does not immediately delete Customer Data.
13. Reactivation Period
Unless otherwise stated, Customer Data for a suspended tenant may be retained for a further thirty (30) calendar days after suspension.
During this reactivation period, the Customer may restore the subscription by:
- paying the applicable renewal amount;
- resolving any payment issue;
- and satisfying any reasonable account-verification requirements.
Once valid payment is received, ASIS will normally restore access with retained Customer Data intact, subject to technical availability and the applicable retention rules.
14. Post-Termination Export and Deletion
If the Customer does not reactivate during the applicable reactivation period, the subscription may be treated as terminated.
Subject to the Global Terms of Service and Privacy Policy, ASIS may then provide a further thirty (30) day period during which Customer Data may be available for export.
After the applicable export period:
- Customer Data may be permanently deleted from active production systems;
- backup copies will be removed or overwritten in accordance with the normal backup-retention cycle;
- and restoration may no longer be possible.
The Customer is responsible for exporting any information it is required to retain before the applicable deletion date.
A typical standard lifecycle is:

Specific plans or jurisdictions may apply different periods.
15. Price Changes
The agreed subscription price is fixed for the applicable paid term unless:
- the Customer changes its package;
- adds capacity;
- adds modules or services;
- requests additional professional services;
- or taxes or other mandatory government charges change.
The price applicable to a future renewal may differ from the previous subscription price.
ASIS will use commercially reasonable efforts to provide at least thirty (30) days’ notice of a material price change that will affect a forthcoming renewal for an existing Customer.
Because standard online subscriptions do not renew automatically, the Customer is not required to accept the revised price and may choose not to renew.
Promotional or introductory pricing may expire according to the terms disclosed when the promotion was offered.
16. Employee Capacity, Seats and Usage Limits
Subscription plans may include defined employee, seat or usage capacity.
For billing purposes, an active employee record or other defined unit of usage may count toward the purchased capacity according to the applicable plan.
Additional capacity may be purchased during an active subscription term.
Where supported, additional capacity may be charged on a pro-rata basis for the remaining portion of the current subscription term.
Additional capacity will normally align with the existing subscription end date.
The Service may technically enforce purchased capacity or usage limits.
The Customer must not attempt to bypass those controls.
17. Capacity Reductions
Reductions in:
- employee capacity;
- seats;
- users;
- devices;
- storage;
- or other subscribed quantities
normally take effect at the beginning of the next subscription term.
Unless required by applicable law or expressly stated otherwise, no refund or credit is provided for unused capacity removed during an already-paid subscription term.
18. Package Upgrades
A Customer may request or purchase an upgrade to a higher Bluebird package where available.
An upgrade may take effect immediately.
The Customer may be charged the applicable difference for the remaining portion of the subscription term, including on a pro-rata basis where supported.
Once the upgraded package or functionality has been activated, upgrade fees are generally non-refundable except as stated in the Refund and Cancellation Policy or required by law.
19. Package Downgrades
A downgrade to a lower package normally takes effect at the beginning of the next subscription term.
The Customer may continue to use the existing paid package until the end of the current term.
No refund or credit is normally generated by a downgrade request made during an active paid term.
Before the downgrade takes effect, the Customer is responsible for ensuring that its:
- employee count;
- users;
- storage;
- devices;
- modules;
- and other usage
fall within the limits of the lower package.
ASIS may restrict functionality or require the Customer to reduce usage where the Customer exceeds the limits of the downgraded package.
20. Add-Ons
Optional Bluebird add-ons may include:
- additional modules;
- additional employees or users;
- storage;
- APIs;
- advanced reports;
- integrations;
- communication services;
- or other functionality.
Add-ons may be billed:
- together with the original subscription;
- during the subscription term;
- on a pro-rata basis;
- or under another pricing model disclosed at the time of purchase.
Unless otherwise stated, removal of an add-on takes effect at the next renewal.
Refunds relating to add-ons are governed by the Global Refund and Cancellation Policy.
21. Professional Services
Professional services may include:
- setup;
- implementation;
- configuration;
- data migration;
- integration;
- consultancy;
- training;
- custom reporting;
- custom development;
- or other separately quoted services.
Professional services may be billed:
- during checkout;
- under an Order Form;
- under a Statement of Work;
- against milestones;
- or under another separately agreed payment schedule.
Professional-service fees are subject to the applicable Order Form and the Global Refund and Cancellation Policy.
22. Invoices and Billing Records
ASIS will issue an invoice, receipt or other appropriate billing document for successful payments where required or ordinarily provided.
The invoice will identify, as applicable:
- the contracting ASIS entity;
- Customer information;
- subscription or services purchased;
- invoice number;
- transaction date;
- currency;
- subtotal;
- applicable taxes;
- total payable;
- and other legally required information.
Invoices may be:
- available within Bluebird;
- sent electronically;
- or provided through another billing channel.
ASIS retains financial and transaction records for periods required by applicable:
- tax law;
- accounting law;
- corporate law;
- payment-provider requirements;
- contractual limitation periods;
- and dispute-resolution requirements.
Retention periods may vary by jurisdiction.
23. Acceptance of Legal Documents
Before completing an online purchase, the purchaser may be required to expressly confirm that they have read and agree to the applicable legal documents.
These may include:
- Global Terms of Service;
- Global Privacy Policy;
- Global Refund and Cancellation Policy;
- these Global Subscription and Billing Terms;
- and any applicable country-specific terms.
The acceptance control should not be pre-selected where affirmative consent is required.
Where acceptance is required, payment may not proceed until the required acceptance has been provided.
24. Electronic Acceptance Records
ASIS may maintain evidence of electronic acceptance for contractual, compliance, fraud-prevention and dispute-resolution purposes.
The record may include:
- version of each accepted legal document;
- date and time of acceptance;
- purchaser’s name;
- purchaser’s email address;
- organisation name;
- IP address;
- browser or device information;
- order reference;
- subscription reference;
- and payment transaction reference where available.
These records may be disclosed where reasonably necessary to:
- a payment service provider;
- acquiring bank;
- issuing bank;
- card network;
- regulator;
- court;
- arbitrator;
- or other competent authority
for purposes including payment disputes, chargebacks, regulatory matters or contractual disputes.
Such disclosures will be made subject to applicable privacy and confidentiality requirements.
25. Retention of Acceptance and Billing Records
Acceptance records, invoices and transaction records are retained for the period required by applicable law and ASIS’s legitimate record-keeping requirements.
For standard commercial records, ASIS may apply a retention period of up to seven (7) years, or another period where required or permitted by applicable law.
Records associated with litigation, investigations, tax audits or disputes may be retained for longer where legally appropriate.
26. Versioning of Legal Documents
Each legal document may display:
- a version number;
- an effective date;
- and where appropriate a publication date.
ASIS may use version numbers such as:
vMAJOR.MINOR
Major Changes
A major change may include material changes to:
- prices or billing mechanics;
- renewal;
- refund rights;
- suspension;
- taxes;
- data handling;
- liability;
- or other material rights or obligations.
Where required by law or the applicable agreement, a major change may require renewed acceptance and appropriate advance notice.
Minor Changes
Minor changes may include:
- corrections;
- clarifications;
- formatting;
- non-substantive wording changes;
- or contact-information updates.
Minor changes may take effect when published unless law requires otherwise.
27. Archived Legal Versions
ASIS may retain prior versions of legal documents at permanent or archived URLs such as:
/en/legal/billing/v1.0
This allows historic electronic-acceptance records to remain verifiable.
Unless otherwise required by applicable law, a transaction is generally governed by the legal-document versions accepted or applicable when that transaction was completed.
28. Failed or Declined Payments
A declined, cancelled or failed payment does not create a paid subscription.
Where payment is unsuccessful:
- provisioning may not occur;
- Service access may not be granted;
- and ASIS is not required to activate the purchased subscription.
Where the payment provider identifies a transaction as pending, ASIS may delay activation until payment is confirmed.
An electronic acceptance record may still be retained for security, fraud-prevention, audit or legal purposes even where payment fails.
29. Reversed or Recalled Payments
If a payment previously treated as successful is later:
- reversed;
- recalled;
- charged back;
- cancelled;
- or invalidated,
ASIS may treat the applicable invoice as unpaid.
Subject to applicable law, ASIS may:
- request replacement payment;
- suspend or restrict the subscription;
- recover outstanding amounts;
- or exercise other rights under the Agreement.
30. Bank Transfers
Where bank-transfer payment is available, a subscription may not be treated as paid until cleared funds are received in the account specified by ASIS.
The Customer is responsible for:
- using the correct bank details;
- including any required payment reference;
- paying applicable sending-bank charges;
- and ensuring the amount received is sufficient to settle the invoice.
ASIS is not responsible for delays caused by banking intermediaries outside its reasonable control.
31. Payment Provider Fees
Payment providers, banks or card issuers may impose:
- processing charges;
- international transaction fees;
- foreign-exchange charges;
- bank-transfer fees;
- or other third-party charges.
Unless expressly included in the checkout price, such third-party fees are not charges imposed by ASIS and are the responsibility of the party charged by the relevant provider.
32. Set-Off
Except where prohibited by applicable law, the Customer may not withhold, deduct or set off amounts properly due to ASIS against unrelated claims the Customer may have.
Any disputed amount should be raised separately using the applicable billing or dispute process.
33. Billing Disputes
The Customer should notify ASIS promptly if it believes an invoice or payment is incorrect.
Billing enquiries should include:
- Customer name;
- invoice number;
- transaction reference;
- nature of the dispute;
- and supporting information.
Raising a genuine billing dispute does not remove the Customer’s obligation to pay undisputed amounts when due.
Refunds and chargebacks are governed by the Global Refund and Cancellation Policy.
34. Fraud Prevention and Verification
ASIS and its payment providers may conduct reasonable checks to prevent:
- payment fraud;
- identity theft;
- account misuse;
- sanctions violations;
- money laundering;
- or other unlawful activity.
ASIS may delay activation, request additional information or decline a transaction where reasonable verification concerns exist.
35. Country-Specific Billing Requirements
Billing, tax, invoicing, electronic-payment and subscription rules may differ between countries.
Additional country-specific requirements may therefore apply to matters such as:
- VAT or GST;
- tax invoices;
- withholding;
- electronic invoicing;
- accepted payment methods;
- currency;
- refund requirements;
- mandatory renewal notices;
- and payment-dispute rights.
Where applicable, those requirements may be provided:
- during checkout;
- in an Order Form;
- in country-specific terms;
- or in another legally required notice.
Mandatory local law prevails to the extent it cannot legally be excluded.
36. Changes to These Billing Terms
ASIS may update these Billing Terms.
Material changes affecting an existing Customer may be notified in accordance with the Global Terms of Service.
Where renewed acceptance is legally or contractually required, ASIS may require the Customer to accept the updated version before:
- renewing;
- making another purchase;
- upgrading;
- or continuing with another applicable transaction.
Non-material administrative or clarification changes may take effect on publication.
37. Governing Contractual Framework
These Billing Terms form part of the overall contractual framework governing Bluebird.
The governing law and jurisdiction are determined in accordance with:
- the Global Terms of Service;
- the applicable ASIS contracting entity;
- any Order Form;
- and applicable country-specific terms.
Nothing in these Billing Terms excludes mandatory rights or obligations under applicable law.
38. Language
These Billing Terms may be published in multiple languages.
Where applicable law requires a particular language to prevail, that requirement will apply.
Otherwise, the controlling language may be identified during checkout or in applicable country-specific terms.
Where no controlling language is specified, the English-language version shall prevail in the event of inconsistency.
